1. Agreement to These Terms

These Terms of Service govern your access to and use of the Khanta application, website, and related services (the "Service"), provided by Khanta ("we," "us," "our"). By creating an account or otherwise using the Service, you agree to these Terms and our Privacy Policy.

2. What Khanta Is

Khanta is software that helps a shop record its stock, sales, purchases, and customer-credit records, with optional WhatsApp receipts and reminders sent from a WhatsApp account the store Owner connects, low-stock alerts, barcode generation and lookup, and restock timing estimated from your own past sales. Some features work offline and sync when a connection returns.

Khanta is a record-keeping tool. It does not process payments or hold funds on your behalf. Any figure the Service estimates (restock timing, margin) is computed from data you provide and is an estimate only, never guaranteed and never financial or legal advice.

3. Gbese: Important Limitations

Gbese lets you record credit you personally extend to your own customers and, after connecting your store's WhatsApp account, send them WhatsApp reminders. Khanta is not a lender, credit provider, or debt collector; it is the record-keeping tool only. You are solely responsible for the legality of the credit you extend and for the accuracy of what you record; Khanta does not guarantee repayment or mediate disputes.

4. Fees

New accounts receive 14 days of full access without providing a payment card. The trial begins when the account is activated. Existing pilot accounts will receive advance notice of the date their trial begins; their trial is not counted retroactively. When the trial ends without a paid plan, you can still sign in and review your workspace, but business operations and changes are paused until payment. Your account and business data are not deleted because a subscription expires. Changes saved offline on your device will not sync while access is read-only; keep the device and its local data until you renew and confirm that syncing has completed.

Both paid plans include the same product features. They differ in included capacity: Single Shop includes one location and three staff seats; Growing Business includes up to three locations and ten staff seats. The owner is not counted as a staff seat. Additional locations and staff capacity can be added to either plan at the prices shown at checkout, subject to the published maximums. The checkout page shows the plan, capacity, term, currency, and total due before payment.

Paid plans are prepaid for the term selected at checkout. When an upgrade or capacity increase is paid, the selected plan and capacity take effect after payment is confirmed. The purchased term is added after the current paid period, so unused paid time is preserved. A downgrade or capacity reduction is scheduled for the end of the current paid period. You can cancel a scheduled change in Billing before it takes effect. A scheduled capacity must cover the locations and active staff seats you currently use; deactivate staff accounts before reducing staff capacity. Your account owner keeps control of staff access and store selection.

At checkout, you must separately check the renewal authorization box before continuing. It authorizes Khanta to charge the displayed monthly renewal amount after the prepaid term ends, and monthly after that, using a payment credential saved by the selected payment provider if that payment method supports recurring charges. If it does not, you must renew manually. You can cancel in Billing before the next renewal; cancellation stops future renewals and paid access continues through the current paid period. Manual bank-transfer reports do not themselves save a payment authorization. If an automatic renewal fails, access remains available during the disclosed renewal grace period (up to seven days after the paid period ends); after that, business operations pause while workspace review and billing remain available.

5. Acceptable Use

Don't use the Service for anything illegal to sell in Nigeria, to commit fraud, to access another store's data without authorization, or to scrape or reverse-engineer the Service. Violating this can get your access suspended.

6. Your Data

You own your business data. We host, store, and process it only to run the Service, as described in our Privacy Policy. You can export or request deletion of it at any time.

7. Third-Party Services

The Service uses third-party providers for hosting, storage, messaging, payments, analytics, and optional barcode lookups. Their services are subject to their own terms and privacy practices. We do not control their availability or delivery outside our reasonable control. Payment providers process checkout and payment credentials; Khanta does not hold card details.

8. Public Product Pages

A barcode or QR code you generate for a product creates a public page anyone who scans it can view: name, brand, price, description, photo. It never shows cost price, margin, exact stock, or supplier contact information. Generating one, and where you print it, is entirely your choice.

9. Service Availability

The Service is provided "as is," without warranty of uninterrupted or error-free operation. Offline-mode data is queued on your device and synced when a connection returns; we're not responsible for data that can't sync because a device is lost, damaged, or reset before syncing completes.

10. Limitation of Liability

To the extent permitted by law, Khanta is not responsible for indirect or consequential loss arising from use of the Service, including lost profit, an unrecovered customer debt, or a failed or delayed third-party message. Nothing in these Terms excludes or limits liability, consumer rights, or remedies that applicable law does not allow to be excluded or limited. Any limitation of liability is subject to the Federal Competition and Consumer Protection Act and other mandatory law.

11. Copyright, Trademarks, and Intellectual Property

The Service, including its software, source code, database structure, design, user interface, and all associated documentation and content (excluding your own business data), is the copyright of Khanta or its licensors, protected under Nigeria's Copyright Act 2022 and under international treaties to which Nigeria is a party, including the Berne Convention for the Protection of Literary and Artistic Works and the WTO TRIPS Agreement. This protection applies regardless of where in the world the Service is accessed, copied, or reproduced from.

"Khanta," our logo, and any other names, marks, or branding we use to identify the Service are trademarks of Khanta, whether or not formally registered, and are protected under Nigeria's Trademarks Act and applicable international law. Nothing in these Terms grants you any right to use our trademarks, logos, trade dress, or branding without our prior written consent.

You may not copy, reproduce, distribute, publicly display, create derivative works from, reverse-engineer, or otherwise exploit the Service, its software, or its design, in whole or in part, except as these Terms expressly permit. Building, operating, or distributing a product or service that copies or substantially imitates the Service's software, design, or branding without our authorization may constitute copyright and/or trademark infringement under Nigerian and international law, and we reserve the right to pursue all remedies available to us, including injunctive relief and damages.

12. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will seek to resolve disputes in good faith. If they cannot, either party may seek relief from a court with jurisdiction.

13. Changes and Contact

We'll notify you in-app before a material change to these Terms takes effect. Questions: support@khanta.com.ng.

These Terms are governed by Nigerian law. We will try to resolve disputes in good faith, without preventing either party from using a court or regulator complaint process available under applicable law. Nothing here waives statutory consumer rights.
